Confidentiality Agreement
If you publish or have published an offer for sale via the website www.crowdhouse.com, access such an offer for sale, participate in a sales procedure or release documents relating to a property, you will receive access to strictly confidential information and documents (hereinafter “Information”) in written, electronic, verbal or other form.
In connection with this Information, you agree to the following terms regarding confidentiality:
- I shall keep all information and my documents prepared on the basis of this information secret for an indefinite period and shall not disclose them to third parties without the written consent of crowdhouse (Schweiz) AG (hereinafter “crowdhouse”).
- I may disclose the information to my employees, representatives, external consultants or clients without the written consent of crowdhouse, as long as they also treat it as strictly confidential and only use it for checks that are necessary in connection with the sales offer.
- I shall take all necessary measures to prevent unauthorized disclosure or use of the information.
- I shall be liable to crowdhouse and the respective rights holder for any breach of this confidentiality agreement and shall fully indemnify both.
- At crowdhouse’s request, I will immediately destroy or return all information received (including copies). I shall also destroy or continue to treat as strictly confidential any documents (including copies) I have prepared on the basis of this information.
- I will notify crowdhouse immediately of any breach of these terms as soon as I become aware of it.
- The aforementioned conditions do not apply to information that is already publicly known or that becomes publicly known after receipt without breach of this confidentiality agreement. They also do not apply to the disclosure of information due to a judgment, order or decree of a competent court or authority. In such a case, however, I am obliged to inform crowdhouse immediately in writing.
Should any provision of this confidentiality agreement be or become void, invalid or ineffective in whole or in part at any time, the remaining part of the confidentiality agreement shall not be affected. The invalid provision shall be replaced by a provision that comes as close as possible to the economic and legal purpose of the invalid provision.
This confidentiality agreement is subject exclusively to Swiss substantive law. The exclusive place of jurisdiction is Zurich.
